1. Agreement and license
This EULA is between you and Zachary Hammons, an individual developer based in Ohio, United States. Subject to an active Arkon Vault entitlement and compliance with this EULA, you receive a limited, non-exclusive, non-transferable, non-sublicensable license to install and use Arkon Sync on computers you own or are authorized to control, solely with your authorized Arkon Vault account.
2. Ownership
Arkon Sync is licensed, not sold. Zachary Hammons and applicable licensors retain all right, title, and interest in Arkon Sync, including its source code, object code, designs, documentation, trademarks, and derivative works. You retain ownership of your content.
3. Restrictions
Except where applicable law expressly prevents a restriction, you may not copy, modify, translate, reverse engineer, decompile, discover source code, create derivative works, distribute, sublicense, rent, lease, sell, resell, provide Arkon Sync as a service, remove notices, or bypass licensing, update-verification, tenant, workspace, or security controls.
4. Local access and credentials
Arkon Sync reads supported local AI session locations only after installation and approval. It sends continuity records to the Vault URL approved during setup. Its scoped credential is protected for the current Windows user. You are responsible for the computer, connected accounts, allowed folders, and revoking access when a device is lost, transferred, or no longer trusted.
5. Updates
Arkon Sync may check the approved Vault origin for verified updates and install non-material updates silently. Security, compatibility, and reliability updates may be required for continued use. A materially changed EULA requires new affirmative acceptance before the changed terms apply.
6. Third parties, term, and termination
Windows, AI tools, hosting, and other third-party services retain their own terms. Third-party software components remain governed by their applicable licenses. This license ends when your entitlement ends or you materially breach this EULA. On termination, stop use and uninstall Arkon Sync.
7. Warranty and liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARKON SYNC IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT EXPRESS OR IMPLIED WARRANTIES. NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR LOST-PROFIT DAMAGES. OUR TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE FEES YOU PAID FOR ARKON VAULT DURING THE 12 MONTHS BEFORE THE CLAIM. THESE LIMITS DO NOT APPLY WHERE LAW PROHIBITS THEM.
8. Ohio law and contact
Ohio law governs this EULA. Proceedings must be brought in a state or federal court of competent jurisdiction in Ohio unless applicable law requires another forum. Questions may be sent to support@arkoncybersecurity.com.
