1. Agreement and publisher
These Terms are an agreement between you and Zachary Hammons, an individual developer based in Ohio, United States (“Arkon Vault,” “we,” or “us”). By creating an account, accepting an invitation, purchasing a subscription, or otherwise affirmatively accepting these Terms, you agree to them and to the Privacy Policy. You must be at least 18 years old and legally able to form a contract.
2. The service
Arkon Vault provides hosted and optionally self-hosted AI work-continuity features, including shared project context, preflight, handoffs, decisions, audit records, customer support tickets, connectors, and optional Windows Sync. Arkon Vault does not provide an AI model and does not control or guarantee third-party AI output or availability.
3. Accounts and authorized access
You must provide accurate account information, safeguard passwords and credentials, and promptly revoke access that is no longer trusted. You may connect only computers, AI accounts, workspaces, and content you own or are authorized to use. Account owners control invitations, seats, connectors, local Sync installation, and authorized account activity.
4. Customer content
You retain ownership of content submitted to your vault. You grant us the limited rights needed to host, process, back up, secure, support, and transmit that content through connectors you authorize. You are responsible for having lawful rights to the content. Do not submit regulated health information or other data requiring a special agreement unless we have signed that agreement with you.
5. Acceptable use
You may not violate law or third-party rights; access another tenant; distribute malware; probe systems without authorization; expose credentials; bypass licensing, tenant, rate, or security controls; interfere with the service; or resell credentials. You may not use the service for content or activity you are not authorized to process.
6. Subscriptions, cancellation, and refunds
Paid subscriptions renew for the selected interval until cancelled. Current price, interval, and plan limits appear before checkout. Taxes may apply. Cancellation normally takes effect at the end of the paid period. The Cancellation and Refund Policy is part of these Terms.
7. Third parties and Sync
Hosting, Stripe, transactional email, AI providers, and customer-selected integrations may process information needed for their function under their own terms. Optional Arkon Sync accesses supported local folders only after installation and approval by an authorized user. Arkon Sync is also governed by its End-User License Agreement.
8. Security and availability
We use tenant and workspace controls, scoped credentials, transport encryption, password hashing, verified updates, backups, and monitoring. No internet service is error-free or continuously available. Maintenance, provider outages, beta limitations, and emergency security work may affect availability. Public launch plans do not include a service-level agreement, HIPAA business-associate agreement, enterprise data-processing addendum, or data-residency commitment unless separately signed.
9. Suspension and termination
We may limit or suspend access for a security threat, payment failure, material misuse, legal obligation, or breach, with notice when reasonable. You may cancel and request deletion assistance. The Account Export, Retention, and Deletion Policy explains the verified deletion process.
10. Warranty disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARKON VAULT IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT EXPRESS OR IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. THIS DOES NOT LIMIT RIGHTS THAT APPLICABLE LAW DOES NOT ALLOW US TO WAIVE.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR LOST-PROFIT DAMAGES ARISING FROM THE SERVICE. OUR TOTAL AGGREGATE LIABILITY ARISING FROM ARKON VAULT WILL NOT EXCEED THE FEES YOU PAID FOR ARKON VAULT DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS DO NOT APPLY WHERE APPLICABLE LAW PROHIBITS THEM.
12. Changes
Material changes receive a new effective date and reasonable notice. We will require new affirmative acceptance when a change materially affects user rights. Continuing to use the service after a non-material update takes effect constitutes acceptance where permitted by law.
13. Ohio law and courts
Ohio law governs these Terms without regard to conflict-of-law rules. Any proceeding arising from these Terms or Arkon Vault must be brought in a state or federal court of competent jurisdiction in Ohio, unless applicable law requires another forum.
